KK arrives at ABR HQ to present RR capabilities to Matt and team. Matt inquires if building ManyChat functionality into RR is possible.
KK has never even heard of ManyChat, but says he'll bring it up with Joe Gratz.
Joe roughs out a conceptual demo panel. KK requests additional info so Joe can build a functional prototype.
In this email, I simply mention the ManyChat/Messenger revenue along with other future-looking initiatives (weekly billing and upsells) that were also NOT implemented by Matt until 2024.
ABR provides Messenger functionality as they are currently using it.
The wireframe demonstration video literally labeled "test app" was sent to show potential and get feedback.
Matt, Andrew, and Joe Gratz code review meeting.
Note: This review is after the "Test App" demo, and two months before the sale.
The idea that we would drop everything and devote a month-long coding project to...
A Messenger feature we don't need...
For a service we didn't offer...
Which had zero purpose for our business...
Prior to a sale taking place...
...is ridiculous.
Matt and crew arrive in Las Vegas to close the deal. KK and crew welcome them with open arms. The room is electric. The synergy of this merger is off the charts.
A magic moment for sure. The beginning of something with so much potential, so much talent, so much demand... you'd have to work overtime to screw it up.
Hold that thought.
Matt starts to focus on getting Joe the specs for the Messenger integration.
Joe sends Matt a scope of work invoice prior to starting the integration.
Matt gives Joe the "thumbs-up" to start on the Messenger integration.
Joe provides Messenger update.
Matt needs "breathing room."
KK consents to defer payments for three-months. Matt stretches it to four.
Trustworthy
- Every # I was told is accurate, no monthly surprises on bills, etc. - Zero issues in accounting

- Messenger Integration
- Took longer and delayed price raise & RMTW clients coming over

Matt's projections were off. That happens. But instead of pausing spending and head count in March... he accelerates it ahead of revenue growth.

The Integration is tested with a handful of clients. It does not perform as expected. Redemptions are low and Matt shuts it down.
Matt said "we fucked up our agency by trying to merge it with repeat returns too quick..."
Matt has Joe do more Messenger development for "ABR Rewards" which is also scrapped after a few months.
Not surprising. Late/partial payments had become the norm in 2025.
Note will be late... "video edition."
For now, we are honoring Matt's request to keep the video private.
Note will be late... "chart edition."
Note payment goes from "late" to "ain't gonna happen" - for two months. Then it'll be lower the rest of the year.
In retrospect, Matt's subject line: Loan "Altercation" For 2025... seems more a Freudian slip than a misspelling.
We agreed to everything Matt asked for - and more. As long as he would prioritize our payments in the future and provide reasonable security clauses.
Go ahead and take a look.
Hit that red button.

Turns out Matt's money problems are not his fault.
Despite signing off on due-diligence prior to the sale and making every single decision since...
His money problems have nothing to do with his reckless-spending, over-hiring, or failing to implement the multitude of revenue streams that are constantly "just around the corner."
Nope. Kamron screwed him with a super-generous, zero-down, low interest, seller-financed deal on a business that printed money for 15 years straight.
The actual slides from Matt's "It's not my fault—I got screwed" presentation.
Matt's M&A "buddy" says we screwed him on the deal
The code sucks (despite Matt's experts saying all looked good during due-diligence)
Messenger functionality isn't as "claimed." (We'll just pretend the entire Messenger trail above does not exist)
And to top it off... despite Matt missing payments left and right for almost two years... "WE" are in breach...
The final call

Where Matt calls me a "fucking narcissistic ass" (page 20) is classic.
